Parallaxes Capital Management Highlights Previously Terminated TRA of a Leading Internet Company

GoDaddy disclosed that it paid $850 million to its TRA holders to terminate its TRAs. The GoDaddy TRAs provided for the payment of 85% of the savings realized from certain tax attributes, including savings from (i) certain depreciation and amortization deductions and (ii) net operating losses.

Parallaxes views TRAs, including the GoDaddy TRA, as a valuable tool to reduce certain moral hazard problems and informational asymmetry inherent in a company’s public offering.
