Additional equity in the company is expected to be issued in connection with anticipated financing and employment agreements, which will reduce the foregoing percentage proportionately.
HollyFrontier Corporation concerning potential violations of the federal securities laws and/or breaches of fiduciary duties relating to HollyFrontier’s and Holly Energy Partners, L.P.’s acquisition of Sinclair Oil Corporation and Sinclair Transportation Company.
Monmouth Real Estate Investment Corporation concerning potential violations of the federal securities laws and/or breaches of fiduciary duties relating to its sale to Equity Commonwealth. Under the terms of the merger agreement, Monmouth shareholders will receive 0.67 shares of Equity Commonwealth stock for each Monmouth share they own.
